GENERAL TERMS AND CONDITIONS OF SALE (B2B)

1. SCOPE OF APPLICATION

These General Terms and Conditions of Sale (GTC) govern product sales between Nunu Trading International S.L. (“Seller”) and the professional or company (“Buyer”) through the B2B platform.

These conditions expressly exclude consumer protection regulations, as the transactions occur between businesses.

 

2. NATURE OF THE OFFER AND CONTRACT FORMATION

a. Invitation to treat: Product information, pricing, and stock displayed on the website or provided by the virtual assistant (Chatbot) do not constitute a binding offer, but rather an invitation to negotiate.
b. Order Validation: The contract is only considered concluded when Nunu issues the explicit “Order Confirmation,” after verifying actual stock availability and Buyer solvency.
c. AI Disclaimer: The Buyer acknowledges that the Chatbot (operated by Oct8ne) uses Artificial Intelligence. No price or condition provided by the Chatbot shall be binding if it contradicts the product sheet or the official Order Confirmation. Nunu is not responsible for AI-generated errors (“hallucinations”).

 

3. PRICES AND PAYMENTS

a. Prices are displayed net, excluding VAT and other taxes unless expressly stated otherwise.
b. Secure Payments: Credit card payments are processed by Stripe. Nunu does not store sensitive banking data.
c. Retention of Title: Nunu retains ownership of the goods until full payment is received from the Buyer.

 

4. SHIPPING, DELIVERY, AND TRANSFER OF RISK (INCOTERMS)

a. General Rule (EXW): Unless expressly agreed otherwise on the invoice, sales are governed by the EXW (Ex Works) Incoterm. Risk of loss or damage transfers to the Buyer when the goods are made available at Nunu’s warehouse.
b. Transport Management (Exception): If Nunu agrees to manage transport on behalf of the Buyer, the operation may fall under DAP or CPT terms, with logistics costs added to the invoice. Delivery times are indicative and non-essential.

 

5. RETURNS AND CLAIMS POLICY

a. No Withdrawal Right: As this is a B2B sale, no right of withdrawal applies. Returns of compliant merchandise due to change of mind or low commercial rotation are not accepted.
b. Apparent Defects: The Buyer has a period of FOUR (4) CALENDAR DAYS from receipt to report shortages, breakages, shipping errors, or visible quality defects.
c. Hidden Defects: For internal defects not detectable through reasonable visual inspection upon delivery, the Buyer has a maximum period of SIXTY (60) CALENDAR DAYS from receipt to submit a formal claim, in line with commercial practice and the Commercial Code. After this period, the goods shall be deemed definitively accepted.

 

6. APPLICABLE LAW AND JURISDICTION

These conditions are governed by Spanish law. The parties submit to the Courts and Tribunals of the city of Oviedo, expressly waiving any other jurisdiction.
